Terms of Use
Last updated November 1, 2026
Deed & Key is a service of Trainkeep LLC, a Utah limited liability company ("Deed & Key", "we", "us"), 7533 S Center View Ct Ste R, West Jordan, UT 84084. These terms apply when you use our website, send us a form, talk or message with us, or buy our service. By doing any of these, you agree to these terms and to our privacy policy. If you don't agree, please don't use the site or our service.
Section 15 asks you to resolve disputes through individual arbitration and gives up class actions. You can opt out of it within 30 days.
1. What Deed & Key is, and what it isn't
Deed & Key helps homeowners in Utah sell their own home. We provide standard Utah forms filled in from your answers, general plain-language information, checklists, a listing prepared for you, and deadline tracking and reminders.
We are not a law firm and not a real estate brokerage, and we are not attorneys or licensed real estate agents.
- We do not give legal advice, and using Deed & Key does not create an attorney-client relationship.
- We do not act as your agent. We do not negotiate for you, choose contract terms for you, or represent you to buyers, agents, lenders or the title company.
- We do not help you set your price. You choose it.
- Our information is general. It is not advice about your situation, and it may not cover every rule or event that applies to your sale.
Real estate contracts are legally binding. Have a licensed Utah attorney review your purchase contract and closing documents before you sign, and get any other professional advice you need, such as tax advice.
2. Who can use the service
You must be at least 18 and able to make a binding contract. Our service is for owners of a home in Utah, or people authorized to sell one. If you use it for someone else's home, you confirm that you have their authority.
3. Your part
- Your answers. Our documents are only as accurate as what you tell us. You are responsible for your answers, and for checking every document we prepare before you use, sign or send it. Your seller disclosures are your legal duty, not ours.
- Your decisions. You decide your price, which offer to accept, the terms you agree to and whether to sign. You are responsible for those decisions.
- Your deadlines. Our deadline calendar and reminders help you keep track, but the dates in your contract are yours to meet. If a reminder is late, wrong or doesn't arrive, your contract dates still apply.
- Your account and messages. Keep any login we give you private, and tell us if you think someone else has used it.
4. Fee and payment
Our service costs one flat fee, whatever your home's price: $1,000 if you send our contact form by December 31, 2026 (Utah time), and $2,000 if you first send it on or after January 1, 2027. You pay it upfront, when you buy the service. The fee pays for our forms, information, listing preparation and tools. It does not depend on whether, when or for how much your home sells, and we never take a share of your sale.
The fee does not include costs charged by others, such as a flat-fee broker's MLS listing fee, a buyer's agent commission you agree to pay, title and closing fees, an attorney, inspections, repairs or taxes.
5. Refunds
You can ask for a refund within 30 days after you pay, with a "Something else" request on our privacy page or in reply to any message from us.
- If we have not yet started work on any document or step of your sale, we refund the full fee.
- If we have, we refund half the fee. "Started work" means we have prepared, delivered or gone through with you any document, listing, checklist or step for your sale.
- After 30 days, the fee is not refundable.
Refunds never depend on whether, when or for how much your home sells. We pay refunds to the payment method you used, usually within 10 business days of approving them. A refund ends your access to the service.
6. Your MLS listing
We prepare your MLS listing from your answers. Only a licensed broker can put a home on the MLS, so you choose a flat-fee broker, sign that broker's listing agreement and pay the broker directly. We may send the broker the listing we prepared, after you approve it.
The broker is not our agent or partner in your sale. We are not a party to your agreement with the broker, we do not receive any payment or benefit from the broker, and we are not responsible for the broker's services, fees, terms or conduct. You must own, or have permission to use, every photo and description you give us for your listing.
7. Savings figures
The savings shown on our site are examples based on a 5% to 6% total commission. They are estimates, not a promise. Commissions are negotiable, and your actual costs and savings depend on your sale, including any buyer's agent commission you agree to pay, the flat-fee broker's listing fee, title and closing fees, and taxes.
8. Calls, texts and emails
When you send our contact form and check the permission box, you agree that Deed & Key may call, text and email you about selling your home at the number and email address you gave us. You don't have to agree to buy anything.
- Our texts are about your inquiry and your sale. How many you get depends on your sale.
- Message and data rates may apply.
- Reply STOP to any text to stop our texts. Reply HELP for help.
- Mobile carriers are not liable for delayed or undelivered messages.
Our privacy policy explains how we handle your information and the other ways to stop calls and emails.
9. Our content
Our site, documents, templates, checklists, text and design belong to us or our licensors. While you use our service, you may use what we prepare for you to sell your own home. You may not copy, resell or share our content or templates to offer a similar service, or use them for anyone else's sale.
You keep ownership of your answers and photos. You let us use them to provide the service, including sending your approved listing to your broker.
10. Fair use of the site
You agree not to break the law through our site, send false information or someone else's details without permission, interfere with the site or its security checks, or use automated tools to collect data from it.
11. Other companies' services
Our site and service link to or rely on services run by other companies, such as brokers, the MLS, home-listing sites, title companies, payment processors and Cloudflare. Those companies set their own terms, and we are not responsible for them.
12. No warranties
OUR SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT YOUR HOME WILL SELL, THAT IT WILL SELL FOR ANY PRICE OR BY ANY DATE, THAT ANY FORM IS RIGHT FOR YOUR SITUATION, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limits on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, DEED & KEY, TRAINKEEP LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALE PROCEEDS, A LOST OR DELAYED SALE, OR LOSS OF DATA, ARISING FROM OUR SITE OR SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 IF YOU PAID US NOTHING. THESE LIMITS APPLY WHATEVER THE LEGAL THEORY, EVEN IF WE WERE TOLD THE DAMAGE WAS POSSIBLE.
Some laws don't allow some of these limits. Where they don't, the limits apply only as far as the law allows.
14. Your responsibility to us
You agree to defend and hold harmless Deed & Key and Trainkeep LLC from claims, losses and costs, including reasonable attorneys' fees, that arise from information you gave us that was false or incomplete, your sale or your agreements with others, or your breach of these terms.
15. Resolving disputes
If you have a problem, contact us first with a "Something else" request on our privacy page so we can try to fix it. If we can't resolve it within 30 days, either of us may start arbitration.
- Arbitration. Any dispute about our site or service is resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. The Federal Arbitration Act governs this section. Either of us may instead bring an individual claim in small claims court.
- No class actions. You and we may bring claims only individually, not as a plaintiff or class member in a class, collective or representative action.
- Opting out. You can opt out of this section by mailing a signed letter with your name, address and a statement that you opt out of arbitration to Trainkeep LLC, 7533 S Center View Ct Ste R, West Jordan, UT 84084, within 30 days after you first accept these terms.
If this section does not apply, or a claim is not arbitrated, it will be brought only in the state or federal courts for Salt Lake County, Utah, and you and we agree to their jurisdiction.
16. Governing law
These terms are governed by the laws of the State of Utah and applicable federal law, without regard to conflict-of-law rules.
17. Changes and ending the service
We may change these terms at any time. Changes take effect when we post them on this page with a new "Last updated" date, and they don't apply to a dispute that arose before. If you keep using our site or service after that, you accept the updated terms.
We may suspend or end your use of the service if you break these terms or the law. If we end it for any other reason before we finish your documents, we refund the share of your fee for the work we haven't done.
18. The rest
These terms and our privacy policy are the whole agreement between you and us about our site and service. If any part is found unenforceable, the rest still applies. If we don't enforce a part right away, we can still enforce it later. You may not transfer these terms to someone else; we may transfer them as part of a merger, sale or reorganization. Sections 3, 7 and 9 through 18 continue after your use of the service ends.
